1. About AvailTrace

AvailTrace is a pharmacy management platform designed to help pharmacies manage areas such as inventory, sales, stock alerts, reports, and other day-to-day operations.

AvailTrace is a management and record-keeping tool. It does not replace professional pharmacy judgement, regulatory requirements, or any other obligations that apply to your pharmacy.

2. Your Account

To use certain AvailTrace features, you may need to create an account. You are responsible for:

• Providing accurate and up-to-date information
• Keeping your login details secure
• Maintaining the security of devices used to access your account
• Ensuring that people using your account are authorised to do so
• Notifying us if you believe your account has been accessed without permission

You are responsible for activity carried out through your account.

3. Using AvailTrace

You agree to use AvailTrace responsibly and only for lawful purposes. You must not:

• Use AvailTrace for illegal or fraudulent activities
• Attempt to gain unauthorised access to the platform or another user's account
• Interfere with the security, performance, or operation of the service
• Upload malicious software or harmful content
• Copy, modify, reverse engineer, or attempt to extract the underlying software
• Use AvailTrace in a way that could damage the service or negatively affect other users

We may restrict or suspend access where we reasonably believe these Terms have been violated.

4. Your Pharmacy Data

You retain ownership of the information and records you enter into AvailTrace.

You are responsible for ensuring that the information you enter is accurate and that you have the necessary rights or permissions to provide it to us. You grant AvailTrace permission to process this information only as necessary to provide, maintain, secure, and improve the services, or as otherwise permitted by our Privacy Policy and applicable law.

5. Offline Functionality

Some AvailTrace features may continue to work when you do not have an internet connection.

Information created or updated while offline may be stored temporarily on your device and synchronised when an internet connection becomes available. Because offline synchronisation depends on the device and connection being used, you should ensure that your device is secure and that important records are regularly synchronised.

6. Availability of the Service

We aim to keep AvailTrace available and reliable, but we cannot guarantee that the service will always be available without interruptions. The service may occasionally be unavailable because of:

• Maintenance or updates
• Technical issues
• Internet or network problems
• Third-party service interruptions
• Events outside our reasonable control

We will take reasonable steps to restore the service and minimise disruptions.

7. Payments and Subscriptions

If AvailTrace introduces paid plans, subscriptions, or other fees, the applicable pricing, billing terms, renewal conditions, and cancellation requirements will be communicated to you before you are charged.

Unless otherwise stated, fees paid for a service are subject to the applicable payment and cancellation terms presented at the time of purchase.

8. Intellectual Property

AvailTrace and its underlying technology, design, branding, content, features, and materials are owned by or licensed to AvailTrace and are protected by applicable intellectual-property laws.

Using AvailTrace does not give you ownership of the platform or its intellectual property. You may not reproduce, distribute, modify, or commercially exploit AvailTrace or its materials without our permission.

9. Third-Party Services

AvailTrace may rely on third-party services to support certain features, such as hosting, payment processing, communications, analytics, or other infrastructure.

Your use of third-party services may also be subject to their own terms and policies. We are not responsible for services that are operated independently by third parties.

10. Disclaimer

AvailTrace is provided as a pharmacy management and record-keeping tool.

We make reasonable efforts to keep information and features accurate and reliable, but we do not guarantee that the service will always be error-free, uninterrupted, or suitable for every pharmacy's particular needs. You remain responsible for verifying important information and making professional and operational decisions for your pharmacy.

11. Limitation of Liability

To the extent permitted by applicable law, AvailTrace will not be responsible for indirect, incidental, special, or consequential losses arising from your use of or inability to use the service.

This may include losses resulting from business interruption, loss of profits, or loss of data, except where liability cannot legally be excluded or limited. Nothing in these Terms is intended to exclude or limit liability where doing so would be unlawful.

12. Suspension and Termination

You may stop using AvailTrace at any time. We may suspend or terminate access to your account if:

• You seriously or repeatedly violate these Terms
• Your use creates a security or legal risk
• Required by law or a competent authority
• We discontinue the relevant service

Where reasonably possible, we will provide notice before suspending or terminating an account. Following termination, your information may be retained or deleted in accordance with our Privacy Policy, applicable agreements, and legal requirements.

13. Changes to These Terms

We may update these Terms when our services, business practices, or legal requirements change.

If we make significant changes, we will take reasonable steps to notify you. Your continued use of AvailTrace after the updated Terms take effect means you accept the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, unless applicable law requires otherwise.

Any disputes relating to these Terms will be handled in accordance with applicable Nigerian law and the appropriate courts or dispute-resolution mechanisms.
